Last updated on: Feb 5, 2025 Applicability These terms and conditions (“Terms”) govern the sale of items (“Items”) between the seller (“Seller”) and Auction Valley LLC. (“Auction Company”), and each buyer (“Buyer”) at internet sale-listing on www.auctionvalleyllc.com (“Website”). The accompanying invoice (the “Invoice”), Website terms of use (“The Terms of Use”), the listing-specific terms and conditions (“Listing Details”), buying Terms (“Buying Terms”), and these Terms (collectively, this “Agreement”) comprise the entire agreement between the parties, and supersede all prior or contemporaneous understandings, agreements, negotiations, representations and warranties, and communications, both written and oral. The parties agree that buying Items on the Website are subject to this Agreement.

• Warranty

  At Auction Valley LLC, we stand behind the quality of every item in our inventory. Whether you’re purchasing a vehicle, boat, RV, tractor, or piece of machinery, you can buy with confidence knowing that:

  • Every item comes with a 12-month warranty, covering mechanical and functional issues that may arise under normal use.

Consumer rights may vary by state. Some states—including but not limited to Alabama, Connecticut, Kansas, Maine, Maryland, Massachusetts, Minnesota, Mississippi, New Hampshire, Vermont, Washington, and West Virginia—may limit or prohibit the waiver of implied warranties. Where applicable, such disclaimers may not apply in full.

• Limitation of Liability

The Buyer agrees that under no circumstances shall Auction Valley LLC or the Seller be liable for:

• Loss of use, revenue, profits, or data

• Diminished value

• Indirect, incidental, consequential, special, exemplary, or punitive damages

This applies regardless of whether such claims arise from breach of contract, negligence, tort, or any other legal theory, even if the Buyer or Seller has been advised of the possibility of such damages.

• Maximum Liability

In any event, the total aggregate liability of Auction Valley LLC and the Seller for any claim or dispute related to a purchase shall not exceed the total amount paid by the Buyer for the item(s) in question.

• Applicability

These Terms and Conditions (“Terms”) govern the sale of items (“Items”) between the seller (“Seller”) and Auction Valley LLC (“Auction Company”), and each buyer (“Buyer”) participating in any online sale listing hosted on www.auctionvalleyllc.com (“Website”).

The accompanying invoice (“Invoice”), Website Terms of Use (“Terms of Use”), listing-specific terms and conditions (“Listing Details”), buying terms (“Buying Terms”), and these Terms (collectively, the “Agreement”) constitute the entire agreement between the parties. This Agreement supersedes all prior or contemporaneous understandings, agreements, negotiations, representations, warranties, and communications, whether written or oral.

By participating in a sale on Items through the Website, all parties agree to be bound by this Agreement.

• Payment

Wire Transfer (must clear bank before delivery). The vehicle must be paid in full before the buyer takes delivery or ships the vehicle. International  Buyers: Please be aware that you will be responsible for the Federal Reserve fee(s) charged for all incoming wires.

• Payment Terms

The Buyer shall pay all invoiced amounts due to Auction Valley LLC, as set forth on the Invoice, by 4:00 p.m. on the second business day following the purchase. Buyer shall make all payments hereunder by wire transfer, in US dollars. In the event Buyer fails to pay as set forth above, the Buyer forfeits any interest in the item and the Buyer shall pay Auction Valley LLC a default fee of fifteen percent (15%) of the Purchase Price. In addition to the default fee, storage fees may be assessed consistent with these Terms. Upon a resale resulting in a loss, the Buyer shall pay the difference between the original Purchase Price and resale Purchase Price. Buyer shall also reimburse buyer for all costs incurred in collections, including, without limitation, attorneys’ fees and court costs, unless prohibited by law. Buyer shall not withhold payment of any amounts due and payable by reason of any set-off of any claim or dispute with Seller or Buyer, whether relating to Seller’s breach, or otherwise.
